Seller Agreement

1. Who Can Sell

To list items on EMXLocker, you must:

• Be at least 18 years of age
• Have a verified EMXLocker account
• Legally own the items you list
• Be authorized to sell in your jurisdiction

2. Listing Standards

All listings must include:

• Accurate description of the item, including condition, brand, model, compatibility, and any modifications
• Clear photos showing the actual item (not stock photos)
• Honest disclosure of defects, wear, damage, or missing parts
• Reasonable pricing that reflects market value
• Shipping details including origin location and handling time

Prohibited Listings

You may NOT list:

• Stolen property or items without clear title
• Counterfeit or replica parts marketed as genuine
• Damaged lithium batteries without proper hazmat certification
• Items that violate intellectual property rights
• Parts that have been recalled or banned
• Items requiring licenses/permits you do not have
• Anything illegal in the buyer's jurisdiction

3. Fees & Payouts

Listing Fees

Basic listings on EMXLocker are currently free. Premium listing features may be introduced in the future with advance notice.

Transaction Fees

EMXLocker charges two transparent fees on completed sales:

• Platform Fee: 10% of sale price — covers buyer protection, escrow, fraud prevention, and platform operations
• Payment Processing Fee: 3% + $0.30 — passed directly to our payment processor (Stripe)

One flat rate for all sellers. No tiers, no subscriptions, no gimmicks. Fees are deducted from the sale price before payout.

Payouts

Sellers receive payouts via Stripe Connect, typically within 2-5 business days after the Buyer confirms receipt or the inspection period ends. A Stripe-verified payout method (bank account or debit card) is required.

By onboarding to receive payouts, you also agree to the Stripe Connected Account Agreement (which incorporates the Stripe Services Agreement), and you authorize EMXLocker to share the information necessary to create and operate your Stripe connected account. Stripe — not EMXLocker — holds and moves funds during the escrow period; EMXLocker instructs the transfer of your payout once it is due.

4. Shipping Requirements

As a Seller, you must:

• Ship within 3 business days of payment confirmation
• Use EMXLocker's Shippo-integrated shipping labels for tracking
• Package items securely with appropriate padding and protection
• Comply with hazmat regulations for batteries (UN3480/UN3481)
• Provide tracking information promptly
• Address shipping issues with buyers in good faith

5. Battery Shipping Compliance

Lithium-ion batteries are regulated hazardous materials. When shipping batteries:

• Must comply with DOT (49 CFR) and IATA regulations
• Ground shipping only for batteries over 100Wh (most e-moto batteries)
• Proper Class 9 hazmat labeling required
• Cannot ship damaged or defective batteries
• Sellers are solely responsible for compliance

EMXLocker provides guidance but does not assume liability for shipping violations.

6. Returns & Disputes

Sellers agree to the EMXLocker Buyer Guarantee and return policy. See our Refund Policy for complete details.

If a buyer files a dispute:

• Respond within 48 hours
• Provide tracking, photos, and evidence as requested
• EMXLocker may mediate and make final determinations
• Refusing to honor legitimate claims may result in account suspension

7. Seller Conduct

Sellers agree NOT to:

• Circumvent EMXLocker checkout to avoid fees
• Solicit off-platform transactions
• Manipulate ratings or reviews (including fake positive reviews)
• Create duplicate accounts to evade restrictions
• Engage in price manipulation or coordinated pricing
• Harass, threaten, or deceive buyers
• Use automated tools to scrape or spam the Platform

8. Ratings & Reviews

Buyers may leave honest ratings and reviews based on their experience. Sellers may respond publicly but cannot remove negative reviews unless they violate our content policy. Repeated negative feedback may affect your account standing.

9. Account Standing

EMXLocker evaluates seller performance based on:

• On-time shipping rate
• Accurate listing rate
• Customer satisfaction ratings
• Dispute resolution performance
• Compliance with policies

Poor performance may result in warnings, listing restrictions, or account termination.

10. Taxes

Sellers are responsible for reporting and paying all applicable taxes on their sales, including income taxes and sales taxes where required. EMXLocker may issue IRS Form 1099-K for sellers exceeding federal reporting thresholds. Consult a tax professional for advice.

11. Intellectual Property

By listing items, you grant EMXLocker a license to use your listing content (photos, descriptions) for marketing, display, and operations. You represent that you have the right to provide all submitted content.

12. Liability

Sellers are solely responsible for the items they sell, including their quality, safety, legality, and performance. EMXLocker is not liable for claims arising from items sold through the Platform.

Sellers agree to indemnify EMXLocker against claims arising from their listings, sales, or conduct.

13. Termination

Sellers may close their account at any time. Pending orders must be fulfilled before account closure. EMXLocker may suspend or terminate seller accounts for policy violations, fraud, or at our discretion.

14. Changes to This Agreement

We may update this Seller Agreement periodically. Material changes will be communicated via email or platform notification with 30 days advance notice for fee changes.
