Seller Agreement

For all sellers: This Seller Agreement governs your relationship with EMXLocker when listing items for sale. By creating a listing, you agree to these terms in addition to our Terms of Service.

Listing Fees

Basic listings on EMXLocker are currently free. Premium listing features may be introduced in the future with advance notice.

Transaction Fees

EMXLocker charges two transparent fees on completed sales:

One flat rate for all sellers. No tiers, no subscriptions, no gimmicks. Fees are deducted from the sale price before payout.

Payouts

Sellers receive payouts via Stripe Connect, typically within 2-5 business days after the Buyer confirms receipt or the inspection period ends. A Stripe-verified payout method (bank account or debit card) is required.

By onboarding to receive payouts, you also agree to the Stripe Connected Account Agreement (which incorporates the Stripe Services Agreement), and you authorize EMXLocker to share the information necessary to create and operate your Stripe connected account. Stripe — not EMXLocker — holds and moves funds during the escrow period; EMXLocker instructs the transfer of your payout once it is due.

Buyers may leave honest ratings and reviews based on their experience. Sellers may respond publicly but cannot remove negative reviews unless they violate our content policy. Repeated negative feedback may affect your account standing.

9. Account Standing

EMXLocker evaluates seller performance based on:

Poor performance may result in warnings, listing restrictions, or account termination.

10. Taxes

Sellers are responsible for reporting and paying all applicable taxes on their sales, including income taxes and sales taxes where required. EMXLocker may issue IRS Form 1099-K for sellers exceeding federal reporting thresholds. Consult a tax professional for advice.

11. Intellectual Property

By listing items, you grant EMXLocker a license to use your listing content (photos, descriptions) for marketing, display, and operations. You represent that you have the right to provide all submitted content.

12. Liability

Sellers are solely responsible for the items they sell, including their quality, safety, legality, and performance. EMXLocker is not liable for claims arising from items sold through the Platform.

Sellers agree to indemnify EMXLocker against claims arising from their listings, sales, or conduct.

13. Termination

Sellers may close their account at any time. Pending orders must be fulfilled before account closure. EMXLocker may suspend or terminate seller accounts for policy violations, fraud, or at our discretion.

14. Changes to This Agreement

We may update this Seller Agreement periodically. Material changes will be communicated via email or platform notification with 30 days advance notice for fee changes.
